Terms of Service

1. Acceptance of Terms

By accessing or using the Croudium platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and PT Croudium Indonesia ("Croudium", "we", "us", or "our").

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or through the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the modified Terms.

2. Eligibility

To use the Platform and make investments, you must:

• Be at least 18 years of age
• Be an Indonesian citizen (WNI) or have valid Indonesian residency
• Have a valid Indonesian identification document (KTP)
• Have a valid Indonesian bank account
• Not be prohibited from investing by applicable laws

By using the Platform, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Services Description

Croudium operates an online platform that connects investors with real estate development projects seeking funding through securities crowdfunding. Our services include:

• Providing access to vetted real estate investment opportunities
• Facilitating investments through our secure payment system
• Providing project updates and performance tracking
• Distributing investor returns as per project terms

We act as an intermediary and do not provide investment advice. All investment decisions are made solely by you.

5. Investment Terms

5.1 Investment Process

By making an investment through the Platform, you enter into a direct contractual relationship with the project issuer. The terms of each investment are set forth in the project documentation.

5.2 Lock-up Period

Investments are subject to lock-up periods as specified in the project documentation. During this period, you may not withdraw your investment or transfer your securities.

5.3 Returns

Returns are not guaranteed. The projected returns shown on the Platform are estimates only and actual returns may vary significantly. You may lose some or all of your invested capital.

6. Risk Disclosure

Investing in real estate crowdfunding involves significant risks, including but not limited to:

• Capital Risk: You may lose some or all of your invested capital
• Liquidity Risk: Your investment cannot be easily sold or transferred
• Market Risk: Property values may decrease due to market conditions
• Project Risk: Projects may face delays, cost overruns, or failure
• Developer Risk: Project developers may face financial difficulties

7. Fees and Charges

The Platform may charge fees for certain services. All applicable fees will be clearly disclosed before you complete a transaction. Current fees include:

• Platform fee: 2-4% of invested amount (varies by project)
• Withdrawal fee: Free for amounts above Rp 1,000,000; Rp 5,000 for smaller amounts
• Tax withholding: 10% final tax on profit distributions (as required by law)

8. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, and software, is the property of Croudium or its licensors and is protected by Indonesian and international intellectual property laws.

9. Limitation of Liability

To the maximum extent permitted by law, Croudium shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any investments made through the Platform.

10. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Platform will immediately cease. Any pending investments will be handled according to their respective terms.
